Drafting of Contracts in Egypt: Doing It Right
If you are about to start a business, you need a contract, and a good one, mainly because the purpose of a business contract is to define everybody’s responsibilities and tasks in the most detailed fashion. However, even if you think that you’ve got a pretty clear vision of what each single one of your employees should do, writing it down in a well organized and properly outlined way might be a much harder task then you think. This is why there is a special kind of lawyers who specialize in checking or flat out writing business contracts for people from a scratch, not only because they know exactly how to put everything down in a clearest way possible, but because they also know a lot of things about laws and restrictions that you may not be aware of (and if you do not have enough experience in a legal field, you probably do not know these things). Surely, it still means that you must have a very clear understanding of what you want, because lawyers in Egypt, despite their talent of dealing with people, are not necessarily psychics.
Individual Approach: Take Your Time and Pay Attention
Just as one business can be absolutely different from another, so can be contracts. Some forms of business do not need a contract longer than this article, and some require contracts that are thicker than most of the books you can find in a bookshop. This also explains why people whose job it is to write contracts or giving a legal advice in Egypt do not ask a standard fee for it – because it is impossible to predict (they are not psychics, remember?) how long it is going to take to even get a clear understanding of what kind of business you are running and how it is organized. Time is money, so the more time it is going to take, the more you will have to pay. However, do not think that a lawyer might willingly slow the situation down; they always have a job and the faster they work, the more they earn.
Avoid getting sued with a well-written contract!
Having a contract that is written in a sophisticated and professional manner is crucial for another reason, not only for the sake of inner regulation within the company. A badly written contract is actually what can cause you many unpleasant lawsuits (yes, there are in fact, very unpleasant) if one or a few aspects of the contract are crossing some lines in the areas of labor laws, or something about market, manufacturing, intellectual property, distribution and so on.
Networking: Remember Your Allies (and Enemies)
The last, but in no way the least thing you should take care of is to make sure that not only you, as a business owner, have checked and understood every single line in the contract, but also that all of your employees did, as well as all the other companies and organizations (all the involved parties, basically) that you are working with. Having a successful stable business means being in good relationships with many local and federal structures. Granted, there can be companies that will compete with you (unless your products or services are so original that nobody else does anything alike), but that also means that your contract should be absolutely flawless so that even the most nitpicky of your “enemies” cannot find anything to sue you for.
The Key To Success: Be Patient
Summing the whole thing up, we highly recommend you to find a lawyer in Egypt and avoid trying to do everything as quickly as possible to save as much money as you can – if your contract will not be structured and thought-through properly, you can lose a lot more money that even the most greedy and slow-thinking contract lawyer in the world would charge from you. Not that we have mentioned it, we must say that this is just a figure of speech, because none of the lawyers that work for our law firm in Egypt are neither greedy, nor slow-thinking, but actually the absolute opposite.
